Terms of Service

Agreement to Terms

By accessing and using the Vibranium Bytes website at vibraniumbytes.com (the “Site”) and engaging our software development services (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must not use our Site or Services.

Services

Vibranium Bytes provides software development, AI engineering, cloud architecture, and related technology consulting services. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.

Proposals and Quotes

All proposals, quotes, and estimates provided by Vibranium Bytes are valid for 30 days from the date of issue unless otherwise stated. Proposals are based on the information you provide and may be revised if project requirements change.

Engagement Models

Dedicated Developer

A developer assigned to work exclusively on your projects on a monthly basis. Minimum engagement is one month. Either party may terminate with 15 days written notice.

Fixed-Price Project

A defined scope of work delivered for an agreed fixed fee. Scope changes are handled through a formal change request process and may affect timeline and cost.

Team Augmentation

A team of developers, designers, and engineers assembled to supplement your existing team. Minimum engagement is one quarter. Either party may terminate with 30 days written notice.

Intellectual Property

Client IP

All intellectual property developed specifically for you during an engagement (“Work Product”) belongs to you, subject to full payment of all applicable fees. We assign all rights, title, and interest in the Work Product to you upon delivery and payment.

Pre-Existing IP

Any pre-existing tools, frameworks, libraries, or methodologies owned by Vibranium Bytes prior to the engagement remain our property. We may use and improve these independently. We grant you a non-exclusive, perpetual license to use any such components incorporated into your Work Product.

Portfolio

We may reference the engagement in our portfolio and marketing materials unless you request otherwise in writing. We will not disclose confidential details without your consent.

Confidentiality

Both parties agree to keep confidential all proprietary and sensitive information shared during the engagement. This obligation survives the termination of services for a period of two (2) years. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

Payment Terms

Dedicated Developer: Monthly invoicing, due within 15 days of invoice date.
Fixed-Price Project: Milestone-based payments as defined in the SOW. Typically 30% upfront, with remaining payments tied to milestone approvals.
Team Augmentation: Monthly invoicing based on team size, due within 15 days.

Late payments may incur interest at 1.5% per month. We reserve the right to pause work on projects with payments overdue by more than 15 days.

Warranties and Disclaimers

Our Warranty

We warrant that all services will be performed in a professional and workmanlike manner consistent with industry standards. Each project includes a 30-day warranty period after delivery during which we will fix bugs and defects at no additional charge.

Disclaimer

THE SITE AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability

To the maximum extent permitted by applicable law, Vibranium Bytes shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to our services. Our total liability for any claim shall not exceed the total fees paid by you in the three (3) months preceding the claim.

Termination

Either party may terminate an engagement in accordance with the notice period specified in the applicable engagement model. Upon termination, you agree to pay for all work completed up to the termination date. We will deliver all completed Work Product and related materials upon full payment.

Indemnification

You agree to indemnify and hold harmless Vibranium Bytes from any claims, damages, or expenses arising from your use of the Work Product, your breach of these Terms, or your violation of any third-party rights.

Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation first, and if unresolved, submitted to the courts of Ahmedabad, Gujarat, India.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting the updated Terms on our Site. Continued use of our Services after changes constitutes acceptance of the revised Terms.
